These Terms of Service ("Terms") govern your use of the Docmods website at docmods.com and our AI-powered document editing services (collectively, the "Service"). By using the Service, you agree to these Terms.
1. Acceptance
By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. The Service
Docmods provides AI-powered document editing capabilities, including:
- Reading, editing, and reviewing Microsoft Word (.docx) documents.
- Adding tracked changes, comments, and annotations via AI.
- Document comparison and version management.
- API access for programmatic document operations.
We may modify, suspend, or discontinue features at any time with reasonable notice.
3. Accounts
- You must provide accurate account information and keep it current.
- You are responsible for maintaining the security of your account credentials.
- You must notify us immediately of any unauthorized access.
- One person or entity per account. Account sharing is not permitted.
4. Your Content
Ownership
You retain all rights to documents and content you upload to the Service ("Your Content"). We claim no ownership over Your Content.
License to Us
By uploading content, you grant us a limited, non-exclusive license to process, store, and transmit Your Content solely to provide the Service. This license terminates when you delete Your Content or close your account.
Your Responsibilities
You represent that:
- You have the right to upload and process Your Content.
- Your Content does not violate any law or third-party rights.
- You will not upload malicious files or content designed to exploit the Service.
5. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose.
- Attempt to gain unauthorized access to the Service or its infrastructure.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Interfere with or disrupt the Service or its servers.
- Use the Service to generate spam, malware, or fraudulent documents.
- Scrape or harvest data from the Service.
- Resell access to the Service without our written permission.
- Use the Service in a way that could harm other users.
We reserve the right to suspend or terminate accounts that violate these terms.
6. API Usage
If you access the Service via our API:
- You must authenticate with valid credentials.
- Rate limits apply and are specified in our API documentation.
- You must not circumvent rate limits or access controls.
- API access may be subject to separate pricing and terms.
7. Payment and Billing
- Paid plans are billed in advance on a monthly or annual basis.
- All fees are non-refundable except as required by law or as stated in our refund policy.
- We may change pricing with 30 days' notice. Price changes do not affect the current billing period.
- You are responsible for all applicable taxes.
- Failed payments may result in service suspension after a grace period.
8. Intellectual Property
Our IP
The Service, including its design, code, documentation, and branding, is owned by Docmods and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.
Feedback
If you provide feedback or suggestions about the Service, we may use them without restriction or compensation to you.
9. Third-Party Services
The Service integrates with third-party providers (AI model providers, cloud infrastructure, payment processors). These integrations are subject to those providers' terms. We are not responsible for third-party service outages or changes.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted or error-free.
- AI-generated edits or suggestions will be accurate or suitable for any particular purpose.
- Documents processed through the Service will be free of errors.
You are responsible for reviewing all AI-generated changes before accepting them. AI output should not be relied upon as legal, financial, or professional advice.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCMODS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold Docmods harmless from any claims, damages, or expenses (including reasonable attorney fees) arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your Content or its processing through the Service.
13. Termination
- You may close your account at any time.
- We may suspend or terminate your account for violation of these Terms.
- Upon termination, your right to use the Service ceases. We will delete Your Content in accordance with our Privacy Policy.
- Sections that by their nature should survive termination (Disclaimers, Limitation of Liability, Indemnification) will survive.
14. Dispute Resolution
- These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law provisions.
- Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court.
- Class action waiver: disputes must be brought individually, not as part of a class action.
15. General
- Entire agreement: These Terms, together with the Privacy Policy and any applicable DPA, constitute the entire agreement between you and Docmods.
- Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
- Waiver: Failure to enforce a provision does not waive our right to enforce it later.
- Assignment: You may not assign these Terms. We may assign them in connection with a business transfer.
- Notices: We may send notices via email or through the Service.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use after changes constitutes acceptance.
